In smaller organizations, one person may cover multiple functions, but the accountability must be explicitly assigned and documented.
Chief AI Officer (CAIO)
Strategy and governance owner
The CAIO owns the AI strategy, the governance program, and the board reporting obligation. This is the single point of accountability for AI governance. The CAIO sets policy, approves the risk register, chairs the governance board, and is the named executive who is on the hook when something goes wrong. In organizations without a dedicated CAIO, this accountability typically falls to the CTO or CDAO, but it must be explicit and documented. Implicit ownership is the same as no ownership.

Fairness and transparency
The AI Ethics Lead operationalizes fairness and transparency within the governance program. This role runs bias audits, defines fairness metrics and thresholds, creates model card templates, reviews high-risk deployments for ethical implications, and maintains the organization's responsible AI standards. The ethics lead bridges the gap between the philosophical principles the organization has adopted and the engineering controls that enforce them. This role requires both technical depth (understanding model behavior) and stakeholder communication skills (explaining risk to non-technical audiences).
Business Unit AI Champions
Adoption and use-case identification
AI champions are embedded in each business unit that uses or plans to use AI. They are the governance program's eyes and ears on the ground: identifying new AI use cases before they become shadow AI, ensuring that use cases go through the proper review process, translating governance requirements into language the business unit understands, and flagging concerns from the field. Champions are typically existing senior leaders with AI governance responsibilities added to their mandate, not new hires. They report to their business unit leader with a dotted line to the CAIO.

The AI governance board
Composition and cadence
A well-functioning AI governance board includes the CAIO (chair), CISO, General Counsel, CRO, the AI Ethics Lead, and rotating business unit representatives. The board meets monthly, with quarterly deep-dive sessions for metrics review and strategic direction. The CAIO and CISO have standing authority to convene emergency sessions for time-sensitive decisions. Board membership is by name, not by title; alternates require pre-approval from the chair.
Charter and decision rights
The board charter defines scope (what decisions the board makes vs. what it delegates), quorum requirements (typically 4 of 6 members for decisions), voting rules (majority for standard decisions, unanimity for policy exceptions), documentation requirements (written decisions with rationale, dissenting opinions recorded), and escalation paths (how disputes reach the CEO or full board of directors). Every decision the board makes produces a written record with the decision, the rationale, the vote, and the follow-up items. This is not bureaucracy. This is the audit trail that regulators will ask for.

The most common mistake in AI governance RACI is making the CAIO both Responsible and Accountable for everything. The CAIO should be Accountable for the governance program overall but should delegate Responsible to the functional expert for each decision type. If the CAIO is doing all the work and making all the approvals, the governance program is a single point of failure.
GOVERNANCE MODELS
Three governance models that work
The choice between centralized, federated, and hybrid governance depends on the number of AI systems, the diversity of business units, the maturity of your risk management culture, and how quickly you need governance operational. Most organizations start centralized and evolve to hybrid as AI adoption scales.
Centralized
A single governance team under the CAIO controls all AI policy, review, and compliance. Every AI initiative goes through the central team. Best for organizations with fewer than 20 AI systems, those in heavily regulated industries, or those in the early stages of building governance maturity (Levels 1 to 3).
Strengths
Consistent standards, clear accountability, easier to audit, faster to stand up.
Limitations
Can become a bottleneck as AI adoption scales, may lack business-unit context, risk of being perceived as a gate rather than an enabler.
Federated
Each business unit runs its own AI governance with light coordination from a central team that maintains shared standards and tooling. Business units make deployment decisions within the guardrails set by the central function. Best for large, diversified enterprises with mature risk management cultures and 50+ AI systems across multiple business lines.
Strengths
Scales with the organization, faster decision-making at the business unit level, governance stays close to the use cases.
Limitations
Risk of inconsistency across units, harder to audit, requires strong AI champions in every business unit, can drift without active central oversight.
Hybrid
The central governance team owns policy, risk register, compliance mapping, and high-risk deployment reviews. Business units handle low-risk and medium-risk deployments within documented guardrails, with AI champions providing local governance. The central team audits business unit decisions on a defined cadence. This is the model most enterprises end up adopting after trying pure centralized (too slow) or pure federated (too inconsistent).
Strengths
Balances consistency with speed, scales to large organizations, central oversight catches cross-unit risks, business units maintain autonomy for routine decisions.
Limitations
Requires clear tier definitions (what is high-risk vs. medium vs. low), needs strong AI champions, more complex to design and document.
